1. Ownership and Intellectual Property

All software products, modules, extensions, documentation, and related materials (collectively, the “Software”) provided under the WebDraco brand are proprietary works owned exclusively by Fernando Alberto Álvarez Marín, operating as WebDraco, unless explicitly stated otherwise in writing.

All intellectual property rights, including but not limited to source code, architecture, structure, design, workflows, documentation, and branding, are fully retained by the Author.

2. Grant of License

Subject to lawful acquisition and continued compliance with this License, the Licensee is granted a non-exclusive, non-transferable, revocable, limited license to install and use the Software solely for the Licensee’s internal business operations.

Unless otherwise specified in a written agreement:

  • Each license authorizes one (1) production instance and one (1) testing or development instance.
  • The Software may only be used within the Licensee’s organization.

This License does not convey any ownership interest or intellectual property rights to the Licensee.

3. Restrictions

Unless expressly authorized in writing by WebDraco, the Licensee shall not:

  1. Distribute, resell, sublicense, lease, or transfer the Software or any part thereof.
  2. Modify, reverse-engineer, decompile, or create derivative works based on the Software.
  3. Bypass or circumvent license enforcement, validation, or protection mechanisms.
  4. Share license keys, credentials, or access with third parties.
  5. Remove or alter copyright, attribution, or branding notices.

Any violation of these restrictions constitutes grounds for immediate termination of this License.

4. Third-Party Platforms and Dependencies

Certain WebDraco solutions may integrate with or extend third-party platforms or open-source software (for example, ERP or CRM systems). Such third-party software is governed by its own applicable licenses.

This License applies exclusively to the proprietary components developed by WebDraco and does not grant any rights over third-party software.

5. Warranty Disclaimer and Limitation of Liability

The Software is provided “as is”, without warranty of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

To the maximum extent permitted by law, WebDraco shall not be liable for any damages arising from the use of or inability to use the Software, including loss of data, loss of profits, business interruption, or indirect or consequential damages.

The Licensee assumes full responsibility for the installation, configuration, and operation of the Software.

6. Support, Updates, and Termination

  • Support and updates are provided only under an active support or maintenance agreement.
  • WebDraco may modify, suspend, or discontinue support or updates at its discretion.
  • This License may be terminated immediately upon breach of its terms.
  • Upon termination, all copies of the Software must be uninstalled and destroyed.

7. Governing Law and Jurisdiction

This License shall be governed by and interpreted in accordance with the laws of The Netherlands, without regard to conflict of law principles.

Any disputes arising out of or relating to this License shall be subject to the exclusive jurisdiction of the courts of The Netherlands.

8. Commercial Notice

All WebDraco software solutions are commercial proprietary products. Unauthorized copying, sharing, or resale may result in civil or criminal liability under applicable law.

9. Non-Binding Summary
